Terms of Services
01. Acceptance of Terms
By accessing or using the website at www.nextagile.ai (the “Site”), or by engaging NextAgile for consulting, training, or any related services, you (“Client” or “User”) agree to be bound by these Terms of Service (“Terms”).
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not use our Site or services.
These Terms apply to all visitors, clients, training participants, and others who access our services.
02. Services
NextAgile.ai (“NextAgile,” “we,” “us,” or “our”) provides the following categories of services:
- Business and organizational consulting (Agile transformation, Leadership, OKR, Gen AI readiness, Design Thinking)
- Corporate training and workforce development programs
- Workshops, bootcamps, and simulation-based learning engagements
- Certification preparation and coaching
- Advisory and fractional consulting services
- Digital content, assessments, and tools hosted on the Site
The specific scope, deliverables, duration, and pricing for each engagement are defined in a separate Statement of Work (SOW), Proposal, or Service Agreement. In case of conflict, the signed Service Agreement prevails.
03. Eligibility
- You are at least 18 years of age
- You have the legal capacity to enter into a binding agreement
- You are using our services for legitimate business or professional development purposes
- Your use does not violate any applicable law or regulation in your jurisdiction
04. Engagement & Payments
Proposals & Agreements: All consulting and training engagements begin with a written proposal or SOW. Work commences only upon signed acceptance and receipt of any advance payment specified therein.
Fees & Invoicing: Fees are stated in the applicable proposal or service agreement. Unless otherwise agreed, invoices are payable within 14 days of issuance. Delayed payments may attract interest at 1.5% per month or the maximum permitted by law.
Cancellations & Refunds: As mentioned in the applicable service agreement
Taxes: All fees are exclusive of applicable taxes (including GST). Clients are responsible for applicable taxes in their jurisdiction.
05. Intellectual Property
Our Content: All content on the Site, frameworks, methodologies, training materials, case studies, tools, brand assets, and written content, is the exclusive IP of NextAgile or its licensors, protected under applicable copyright and IP laws.
Training Materials: Materials delivered during training programs are licensed to Client participants for personal, internal learning use only. They may not be reproduced, resold, or sublicensed without prior written consent.
Client Materials: Any proprietary data, documents, or information shared by the Client remain the property of the Client. NextAgile will not use Client-specific IP beyond delivering the agreed services.
Work Product: Unless explicitly agreed in writing, work product created by NextAgile (reports, assessments, roadmaps, toolkits) is licensed, not transferred, to the Client for internal use upon full payment of fees.
06. Confidentiality
Both parties acknowledge that during an engagement, each may disclose confidential or proprietary information to the other. Each party agrees to:
- Hold the other’s confidential information in strict confidence
- Not disclose it to third parties without prior written consent
- Use it solely for the purpose of the engagement
- Apply at minimum the same standard of care used to protect its own confidential information
This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law. NextAgile may reference Client engagements in general terms for marketing and portfolio purposes unless the Client requests otherwise in writing.
